Any changes or modifications are effective immediately upon posting on the Website. Where appropriate, we may provide additional notice. Your continued use of the Website after changes are posted will constitute acceptance of the revised Terms.

BloxFi may, at its sole discretion, modify, suspend, or discontinue the Website or any portion of its content at any time without prior notice. We may also block or restrict your access to the Website for any reason, including any violation of these Terms or applicable law.

2. Provision of Services

The content and materials provided on the Website are for informational purposes only and do not constitute an offer to provide any services. Nothing on the Website should be construed as a solicitation or offer to engage in any transaction. BloxFi may choose not to make certain services available through the Website, and any descriptions of services on the Website are subject to change at our discretion. Availability of any service or feature is subject to BloxFi’s internal policies, contractual arrangements, and compliance with applicable laws and regulations. The Website serves as a platform to present general information about BloxFi’s products and services, including potential technology demonstrations.

No Online Transactions: The Website is not a transactional platform. Users cannot open accounts, execute trades, or otherwise conduct financial transactions through the Website. No Custody or Advice: BloxFi does not provide custodial services, investment advice, trade execution, or financial intermediation through the Website or otherwise. We are not a bank, broker-dealer, exchange, or investment advisor. All information presented on the Website is general and does not constitute legal, tax, or investment advice. BloxFi does not hold or manage assets on behalf of Users, and no content on the Website should be viewed as a recommendation to invest in, buy, or sell any asset or security.

3. Eligibility Requirements

By accessing or using the Website, you represent and warrant that you meet all of the following eligibility criteria:

Legal Capacity: You are of legal age in your jurisdiction and have the capacity to enter into a binding agreement.
No Restricted Jurisdictions: You are not located in, under the control of, or a citizen/resident of any country or region where access to the Website or BloxFi’s services would violate applicable law or regulation.
Sanctions and Prohibited Parties: You are not identified on any trade or economic sanctions list, such as those administered by the United Nations, United States, European Union, or Hong Kong, and you are not otherwise designated as a prohibited or restricted party under applicable law.
No Prior Suspension: You have not been previously suspended or prohibited from using the Website by BloxFi.

Implement and enforce security measures, fraud prevention processes, compliance checks, and verification procedures to maintain the integrity and security of the Website.
Suspend or terminate any User’s access to the Website if we believe, in our sole discretion, that a violation of these Terms or any law has occurred, or for other operational or security reasons.
Update, amend, or revise these Terms at any time, with changes effective upon posting on the Website.
Collect, use, store, and process User information in accordance with our Privacy Notice (see Section 7 below).
Take any actions deemed necessary to comply with applicable laws, regulations, and law enforcement requests, or to protect our legal rights and the rights of others.

BloxFi’s Obligations: BloxFi will:

Contact BloxFi or request support for technical issues or inquiries using the communication channels provided by BloxFi (see Section 17, "Communication & Notices").

User’s Obligations: By using the Website, you agree that you will:

Provide information that is truthful and accurate if you choose to communicate with us (for example, when submitting inquiries or subscribing to updates).
Refrain from engaging in any fraudulent, misleading, or malicious activities in connection with your use of the Website. This includes refraining from any form of money laundering, terrorist financing, or other illicit financial activities.

Failure by BloxFi to enforce any part of these Terms in a particular instance shall not constitute a waiver of our right to enforce these Terms in the future or in other instances.

BloxFi may suspend, restrict, or terminate your access to the Website (or certain features of the Website) at any time, at our sole discretion, and without advance notice. We may do so for reasons that include, but are not limited to, the following:

You have violated these Terms or any applicable law or regulation, or we have reason to suspect such a violation has occurred or is likely to occur.
Continuation of your access to the Website poses a security risk to the Website, to other users, or to BloxFi, or could subject BloxFi or others to legal liability.

Limited License: BloxFi grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Website and BloxFi Materials for your personal, informational use, strictly in accordance with these Terms. This license is conditioned on your continued compliance with these Terms.

Except as expressly permitted by these Terms or by law, you may not:

BloxFi reserves the right to revoke this limited license at any time, for any reason. If your license is revoked, you must immediately cease any use of the Website and destroy any materials from the Website that you have in your possession.

9. Copyright Complaints

BloxFi respects the intellectual property rights of others and expects Users to do the same. If you believe that any content on the Website infringes a copyright that you own or control, you may send a written notification to BloxFi’s designated contact (see Section 17, "Communication & Notices" for how to contact us). We will review valid notifications and respond as appropriate, which may include removing or disabling access to the allegedly infringing material in accordance with applicable law. Please note that under applicable law (such as the U.S. Digital Millennium Copyright Act, if it were to apply), anyone who knowingly submits a false or misleading claim in a copyright notice may be liable for damages and legal fees. In addition, the overall appearance and layout of the Website, including its graphics, colour combinations, button shapes, and other visual elements, may be protected as BloxFi’s trade dress. You must not copy or use our Website design or layout without permission.

If, despite the above disclaimers and limitations, BloxFi is found to be liable to you for any claim or cause of action arising out of or relating to the Website or these Terms, then (to the extent permitted by law) BloxFi’s total liability for all such claims shall be limited to the greater of: (a) the total amount (if any) you paid to BloxFi in the twelve (12) months immediately preceding the event giving rise to the liability, or (b) HKD $1,000 (one thousand Hong Kong dollars). If no fees have been paid by you to BloxFi, then BloxFi’s liability is limited to the maximum extent permitted by applicable law. Some jurisdictions do not allow the exclusion of certain warranties or the limitation/exclusion of certain liabilities. 14. Compliance and Legal Obligations

BloxFi is committed to complying with all applicable laws and regulations, and expects Users to do the same. You agree that you will not use the Website or BloxFi’s services to further any unlawful purposes, including (but not limited to) money laundering, terrorism financing, fraud, or evasion of international sanctions.

BloxFi adheres to anti-money laundering ("AML") and counter-terrorist financing ("CFT") requirements as required by Hong Kong law and any other jurisdictions in which it operates. We may implement certain know-your-customer ("KYC") or other compliance procedures if and when you engage with us beyond the Website (for example, if you become a customer through offline channels).

BloxFi also maintains policies against bribery and corruption in accordance with Hong Kong’s Prevention of Bribery Ordinance and other applicable anti-corruption laws. In particular, BloxFi does not: hold or custody customer funds or assets; execute buy or sell orders on behalf of customers; facilitate the offering, trading, or exchange of securities or other financial instruments; or provide investment advisory services. However, BloxFi retains the right to seek injunctive relief or other equitable remedies in any jurisdiction if necessary to prevent any unauthorized access to or use of the Website, infringement of intellectual property, or other illegal conduct, without waiving its right to have disputes finally resolved by the courts of Hong Kong.
